Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and Tradelink, LLC ("Tradelink," "we," "us," or "our"). They govern your access to and use of the Tradelink trading journal and analytics service, available on the web at trytradelink.com and as an iOS application (together, the "Service").

1. Acceptance of These Terms

By creating an account, downloading the iOS app, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to create a Tradelink account. By using the Service, you represent that you meet this age requirement and that you have the legal capacity to enter into this agreement in the jurisdiction where you live.

3. Description of the Service

Tradelink is a journaling and analytics tool for traders. You enter your own trades, strategies, notes, and lessons, and the Service organizes them and renders analytics back to you.

Tradelink does not execute trades. We are not a brokerage, exchange, or money-transmission service. We are not registered as investment advisers, broker-dealers, commodity trading advisors, or financial planners, and nothing in the Service constitutes investment, financial, tax, or legal advice. The Service is for record-keeping and self-reflection only.

4. Subscription and Payment

Plans and pricing

We offer the following paid plans:

Prices are in U.S. dollars. Local pricing in other currencies is set by Apple based on its App Store pricing matrix and may include local taxes.

Auto-renewal

Subscriptions renew automatically at the end of each billing period unless you cancel at least 24 hours before the period ends. To cancel an iOS subscription, open Settings on your device, tap your Apple ID, tap Subscriptions, select Tradelink, and tap Cancel Subscription. Cancellation takes effect at the end of the current billing period; you keep access until then. To cancel a web subscription, log in at trytradelink.com and cancel from your account settings, or email support@trytradelink.com.

Refunds

Refunds for purchases made through the iOS App Store are administered by Apple under Apple's published refund policy. Request refunds at reportaproblem.apple.com. We do not process Apple refunds directly.

Refunds for purchases made on the web are administered by Tradelink. You may request a full refund by emailing support@trytradelink.com within 14 days of the initial purchase or renewal.

5. Your Content

You retain all ownership of the content you put into the Service, including trades, strategies, notes, lessons, and journal entries ("Your Content"). We do not claim ownership of Your Content.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process Your Content solely so we can operate the Service and render Your Content back to you. We do not use Your Content to train machine-learning models, and we do not share Your Content with third parties except as described in our Privacy Policy.

You are responsible for the accuracy of Your Content. The analytics the Service generates are only as reliable as the data you enter.

7. Disclaimers

TRADELINK IS PROVIDED "AS IS" AND "AS AVAILABLE." TRADELINK IS A JOURNALING TOOL, NOT INVESTMENT ADVICE. TRADING INVOLVES SUBSTANTIAL RISK OF LOSS, INCLUDING THE POSSIBLE LOSS OF MORE THAN YOUR INITIAL DEPOSIT. PAST PERFORMANCE DOES NOT GUARANTEE FUTURE RESULTS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CONSULT A QUALIFIED FINANCIAL ADVISOR BEFORE MAKING TRADING DECISIONS.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IF YOU LIVE IN ONE OF THOSE JURISDICTIONS, SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADELINK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR TRADING LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IF YOU LIVE IN ONE OF THOSE JURISDICTIONS, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify, defend, and hold harmless Tradelink and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service, (b) Your Content, or (c) your violation of these Terms or any applicable law.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11. Dispute Resolution and Arbitration

Please read this section carefully. It affects your rights, including your right to bring a lawsuit in court.

You and Tradelink agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will take place in the U.S. state where you live, or at another location you and we mutually agree on. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. You and Tradelink agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

Carve-outs. Either party may bring (a) an individual action in small-claims court if the claim qualifies, or (b) an action in court to seek injunctive or other equitable relief for the alleged infringement or misuse of intellectual property rights.

If any portion of this Section 11 is found unenforceable, that portion will be severed and the rest will remain in effect, except that if the class-action waiver is found unenforceable, this entire Section 11 will be void.

12. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will notify you by email at the address on your account at least 30 days before the change takes effect. The "Effective date" at the top of this page always reflects the current version. Continued use of the Service after a change takes effect means you accept the updated Terms.

13. Termination

You may stop using the Service at any time by deleting your account from inside the iOS app at Settings then Delete Account, or by emailing support@trytradelink.com. We may suspend or terminate your access to the Service at our reasonable discretion if you violate these Terms or if we are required to do so by law. Sections 5 (Your Content), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), 10 (Governing Law), 11 (Dispute Resolution), and 14 (General) survive termination.

14. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Tradelink regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Headings are for convenience only and do not affect interpretation.
